Papers of out-of-state (“foreign”) corporations, non-stock corporations, and limited liability companies whose Wisconsin registration was withdrawn or revoked. The files for each corporation may include articles of organization and amendments, annual reports to the Secretary of State, statements of changes in officers and directors, statements of dissolution, Certificates of authority and registration statements, applications of withdrawal, statements of change or resignation of registered agent or office, and like instruments.
Foreign corporations were first required to file a copy of their articles of incorporation in 1898. Beginning in 1905, the statutes required a filing of an annual report; failure to do so resulted in forfeiture of corporate privileges and a defunct status. Consequently, prior to this time the date a corporation went out of business is not necessarily known.
The first group of records in this series was received in the Archives in 1955 and was the result of pulling from the Secretary of State's active files all papers of those corporations which were not filing annual reports or which had filed dissolution papers. All records received by the Archives after this first group are filed by date of defunct status.
